The terms governing your use of cywella.ai and CyWella’s advisory services written to be clear, not buried in legalese.

Please read these terms carefully. By accessing cywella.ai or engaging CyWella’s services, you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of these terms, do not use our website or services.
1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (individually and, if applicable, on behalf of your organization) and CyWella LLC, a Texas limited liability company (“CyWella,” “we,” “our,” or “us”), governing your use of the website located at cywella.ai (the “Site”) and all related advisory services, content, and resources we offer.
By visiting our Site, submitting a form, downloading a resource, scheduling a consultation, or engaging our services, you agree to these Terms in their entirety. If you are using these services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Description of Services
CyWella provides executive-level cybersecurity advisory, AI governance, IT compliance support, security training, and security awareness programs (collectively, the “Services”). Specific scope, deliverables, timelines, and fees for advisory engagements are set out in individual engagement agreements, statements of work, or proposals signed by both parties.
These Terms govern your use of the Site and provide a general framework. Your signed engagement agreement takes precedence over these Terms for the specific services it covers.
3. Eligibility
The Site and Services are intended for business use by individuals who are at least 18 years of age and have legal authority to enter into binding agreements. CyWella services are directed at organizations โ businesses, governments, nonprofits, and institutions โ not individual consumers. By using our Site, you represent that you meet these eligibility requirements.
4. User Accounts and Access
Some features of our Site or client portal (if applicable) may require registration. You are responsible for:
- Maintaining the confidentiality of any account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized use at info@cywellaai.com
We reserve the right to suspend or terminate access to accounts that violate these Terms or are used in a manner inconsistent with our services.
5. Intellectual Property
CyWella Content
All content on the Site โ including text, graphics, frameworks, checklists, blog posts, assessments, templates, and the CyWella name and logo โ is the intellectual property of CyWella LLC and is protected by United States copyright, trademark, and other applicable laws. You may not reproduce, distribute, modify, or create derivative works from any CyWella content without our express written permission.
Client Deliverables
Work product created specifically for your organization under an engagement agreement (reports, roadmaps, policies, presentations) becomes your property upon full payment of all fees associated with that engagement. Underlying frameworks, methodologies, and general intellectual property developed by CyWella remain ours.
License to Use Site Content
We grant you a limited, non-exclusive, non-transferable license to access and use the Site and its publicly available content for lawful business purposes. This license does not include the right to scrape, reproduce, or redistribute Site content at scale.
6. Prohibited Conduct
You agree not to:
- Use the Site or Services for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to gain unauthorized access to our systems, networks, or data
- Scrape, crawl, or systematically extract content from the Site
- Submit false, misleading, or fraudulent information in any form or communication
- Interfere with or disrupt the operation of the Site or our infrastructure
- Impersonate CyWella, Dr. Kimma Wreh, or any CyWella representative
- Use our name, logo, or testimonials without express written permission
- Engage in any conduct that damages, interferes with, or restricts others’ use of the Site
7. Payment Terms
Fees for CyWella advisory services are set out in your engagement agreement or proposal. Unless otherwise agreed in writing:
- A 50% deposit is due upon execution of the engagement agreement
- The remaining balance is due upon delivery of final work product
- Invoices are payable within 15 days of the invoice date
- Late payments may be subject to a 1.5% monthly late fee
- All fees are in U.S. dollars and are non-refundable except as expressly agreed in writing
CyWella reserves the right to pause work on any engagement where payment is more than 15 days overdue.
8. Confidentiality
Both parties acknowledge that they may receive confidential information in connection with CyWella engagements. Each party agrees to:
- Hold the other party’s confidential information in strict confidence
- Use confidential information only for the purposes of the engagement
- Not disclose confidential information to any third party without prior written consent
- Protect confidential information with at least the same degree of care as its own confidential information
These confidentiality obligations survive termination of the engagement for a period of three years, except for trade secrets which shall be protected indefinitely.
9. Disclaimers
The Site and its content are provided “as is” and “as available” without warranties of any kind, express or implied. CyWella specifically disclaims:
- Any warranty that the Site will be uninterrupted, error-free, or free of harmful components
- Any warranty that results from our advisory services will meet every specific objective
- Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement
Our advisory services represent professional judgment based on information provided to us. Cybersecurity is not an absolute guarantee โ no advisory firm can guarantee that an organization will never experience a security incident.
10. Limitation of Liability
To the fullest extent permitted by law, CyWella’s total liability to you for any claim arising out of or related to these Terms or our Services shall not exceed the total fees you paid to CyWella in the twelve months preceding the claim.
In no event shall CyWella be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or reputational harm, even if advised of the possibility of such damages.
11. Indemnification
You agree to indemnify, defend, and hold harmless CyWella, its members, employees, advisors, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from:
- Your use of the Site or Services in violation of these Terms
- Your violation of any applicable law, regulation, or third-party right
- Any false or misleading information you provide to CyWella
12. Termination
Either party may terminate an advisory engagement upon written notice if the other party materially breaches the engagement agreement and fails to cure such breach within 15 days of written notice. Upon termination:
- You remain obligated to pay for all work completed prior to the termination date
- CyWella will deliver all completed work product in its possession
- Both parties’ confidentiality obligations survive termination
CyWella may also terminate or suspend your access to the Site immediately, without notice, for violations of these Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from these Terms or our Services shall be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration in Houston, Texas under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
